Terms of Service

1. Agreement to terms

By accessing or using Cannes ("the Service"), operated by Darkmatter ("we," "us," "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of service

Cannes is a platform that allows you to deploy and manage autonomous AI marketing agents on cloud infrastructure. The Service includes a web dashboard for provisioning VPS instances, configuring AI agents, managing ad platform integrations, and monitoring agent performance.

3. Account registration

  • You must provide a valid email address and create a password to register.
  • Registration requires a valid invite code. Invite codes are non-transferable unless explicitly authorized.
  • You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.
  • You must be at least 18 years old to use the Service.

4. Subscriptions & payments

  • Paid features are available through subscription plans processed by LemonSqueezy. By subscribing, you also agree to LemonSqueezy's terms.
  • Subscriptions renew automatically at the end of each billing period unless cancelled beforehand.
  • You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period.
  • When a subscription expires or is cancelled, associated VPS servers may be automatically deleted after a grace period.
  • We reserve the right to change pricing with 30 days' notice to existing subscribers.

5. Your responsibilities

You agree to:

  • Comply with all applicable laws and regulations, including advertising and data-protection laws in your jurisdiction.
  • Comply with the terms of service of any third-party ad platforms you connect (Google Ads, Meta, TikTok, LinkedIn, Microsoft Advertising, etc.).
  • Keep your API credentials, Hetzner tokens, and other secrets secure. We are not liable for unauthorized use resulting from compromised credentials.
  • Not use the Service to send spam, run misleading ads, or engage in any deceptive marketing practices.
  • Not use the Service to harass, harm, or impersonate any person or entity.
  • Not attempt to probe, scan, or test the vulnerability of the Service or any related system without authorization.

6. Infrastructure & self-hosting

Agents run on VPS instances provisioned through your Hetzner account. You are responsible for:

  • The costs of infrastructure resources (VPS, bandwidth, storage) billed directly by Hetzner.
  • Any API usage costs incurred by your agents with AI model providers (Anthropic, OpenAI, Google, etc.).
  • Ensuring your agents' actions comply with the terms of connected platforms.

7. Data ownership

  • Your data: You retain ownership of all data you provide to the Service, including agent configurations, credentials, and campaign content.
  • Agent outputs: Content, decisions, and actions generated by your AI agents are your responsibility.
  • Telemetry: We collect and process operational metrics (CPU, RAM, uptime) as described in our Privacy Policy.

8. Intellectual property

The Cannes name, logo, dashboard design, and documentation are the property of Darkmatter. The Service utilizes open-source components (OpenClaw, Chromium) governed by their respective licenses. Nothing in these terms grants you rights to our trademarks or proprietary technology beyond what is necessary to use the Service.

9. Disclaimers

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
  • We do not guarantee that your agents will achieve specific marketing outcomes, ROAS targets, or conversion rates.
  • AI agents operate autonomously. While we provide tools to configure and monitor them, we are not responsible for the specific actions they take on connected platforms.
  • We do not guarantee 100% uptime. VPS availability depends on Hetzner's infrastructure and your configuration.

10. Limitation of liability

To the maximum extent permitted by applicable law, Darkmatter shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, ad spend, data, or business opportunities, arising from your use of the Service. Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Darkmatter from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your agents' actions on third-party platforms, or your violation of these terms.

12. Termination

  • You may close your account at any time by contacting us.
  • We may suspend or terminate your access if you violate these terms, with notice where practicable.
  • Upon termination, your right to use the Service ceases. We will delete your data in accordance with our Privacy Policy, though VPS servers must be deleted from your Hetzner account directly.

13. Changes to these terms

We may update these terms from time to time. We will notify registered users of material changes via email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised terms.

14. Governing law

These terms are governed by and construed in accordance with the laws of Portugal. Any disputes shall be resolved in the courts of Lisbon, Portugal.
